These terms form the agreement between Codemites, which operates MedStore ERP, and the pharmacy that subscribes to it. By creating an account or using the Service, you accept these terms on behalf of your pharmacy.
1. The Service
MedStore ERP is pharmacy management software covering billing, inventory, customer and supplier ledgers, expenses, reporting, and GST-ready statements. It is delivered as a web application and requires an internet connection to operate.
We may add, change, or remove features. If we remove something you materially depend on, we will give reasonable notice.
2. Accounts and staff
- A store account is created and administered by an Owner, who may invite staff and assign roles.
- You are responsible for everything done under your account, including actions by staff you grant access to.
- Credentials must not be shared. Each staff member should have their own login so the audit trail stays meaningful.
- You must tell us promptly if you believe an account has been compromised.
- You are responsible for ensuring your staff’s use of the Service complies with the pharmacy laws and licensing rules that apply to you.
3. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose, including recording sales that applicable pharmacy law prohibits.
- Attempt to access another store’s data, probe our infrastructure, or circumvent access controls.
- Resell, sublicense, or white-label the Service without our written agreement.
- Copy, decompile, or reverse-engineer the software, except where law expressly permits it.
- Upload malware, or automate requests in a way that degrades the Service for others.
4. Subscription and payment
- The Service is billed per store on a recurring subscription. Current pricing is shown at the point of purchase; the price you are quoted at signup applies for your current billing period.
- Fees are payable in advance. Access may be suspended if payment fails and remains unresolved after we notify you.
- We may change pricing with at least 30 days’ notice before it takes effect at your next renewal.
- Unless stated otherwise, fees exclude applicable taxes, which are added where required.
Cancellation and refunds are covered in the Refund Policy, which forms part of these terms.
5. Your data
Your data remains yours. The pharmacy owns the records it enters — customers, invoices, stock, ledgers, and prescriptions. We claim no ownership over it. We process it only to provide the Service, as set out in the Privacy Policy.
You grant us the limited licence necessary to host, transmit, back up, and display your data in order to operate the Service for you. You can export your data at any time while your subscription is active.
6. Backups and availability
The Service requires an internet connection, and access may be interrupted by connectivity problems, maintenance, or faults at the providers we depend on. We do not guarantee uninterrupted or error-free operation, and we do not commit to a specific uptime percentage unless we have agreed one with you in writing.
7. Professional responsibility
MedStore ERP is a record-keeping and business tool. It does not provide medical, pharmaceutical, or legal advice. Dispensing decisions, prescription validation, drug interaction judgements, and regulatory compliance remain entirely the responsibility of the licensed pharmacist and the pharmacy. 8. Third-party services
Some features depend on services we do not control, including Google Drive, the WhatsApp Business API, and payment processors. Your use of those features is also subject to those providers’ terms. We are not responsible for their availability, and a change on their side may require us to alter or withdraw a feature.
9. Limitation of liability
To the maximum extent permitted by law, the Service is provided “as is” without warranties of any kind, express or implied, including fitness for a particular purpose.
We are not liable for indirect, incidental, special, or consequential loss, including lost profits, lost sales, loss of goodwill, or loss of data arising from your failure to keep your own backups. Our total aggregate liability for any claim is limited to the subscription fees you paid us in the 12 months preceding the event giving rise to the claim.
Nothing here excludes liability that cannot lawfully be excluded, including liability for fraud or for death or personal injury caused by negligence.
10. Termination
- You may cancel at any time; cancellation takes effect at the end of your current billing period.
- We may suspend or terminate an account for material breach of these terms, unlawful use, or non-payment, after giving notice and a reasonable chance to fix the problem where the circumstances allow.
- On termination, you have 90 days to export your data before it is scheduled for deletion.
11. Changes to these terms
We may revise these terms. Material changes will be notified in the application or by email at least 30 days before they take effect. Continuing to use the Service after that date means you accept the revised terms; if you do not, you may cancel.
12. Governing law
These terms are governed by the laws of India. The courts at Jammu & Kashmir, India, have exclusive jurisdiction over any dispute, and you and we both submit to that jurisdiction. We will each try in good faith to resolve a dispute informally before starting proceedings.
